These Affiliate Program Terms and Conditions (“Terms”) govern your participation in the thruuu Affiliate Program (“Program”) offered by A thruuu company  (“Company”). By enrolling in the Affiliate Program, you are bound by these Terms. We strongly recommend reviewing these Terms thoroughly before becoming a member of our Program.

Enrollment in the Program

1.1 Eligibility: To qualify for the Program, you must be at least 18 years old and possess the legal authority to engage in a binding agreement. Participation is limited to businesses, organizations, and professionals exclusively. Accounts established through automation (e.g., bots or other mechanisms) are prohibited.

1.2: If a company is liable for Value-Added Tax (VAT) and operates within the European Union, it must furnish us with its intra-community VAT number. This unique identification number helps track transactions involving VAT within the EU, ensuring compliance with tax regulations.

1.3 Registration: To enroll in the Program, you must complete the affiliate registration form available on our website. We reserve the right to accept or reject any affiliate application at our sole discretion.

Affiliate Responsibilities

2.1 Promotion: As an affiliate, you agree to actively promote and market thruuu by sharing your unique referral link or referral code as provided by our software.

2.2 Compliance: You shall adhere to all applicable laws, regulations, and ethical guidelines in your promotion of thruuu. This includes, but is not limited to, complying with anti-spam laws, privacy laws, and intellectual property rights. You also agree that your website, service or correspondence does not contain any materials that at thruuu’s sole discretion are considered to:

2.3 Accurate Representation: When promoting thruuu, you must accurately represent the Company and its offerings. You may not engage in any deceptive, misleading, or fraudulent practices that could damage the Company’s reputation.

2.4 Prohibited Activities: You shall not engage in any activities that could harm thruuu, its customers, or affiliates. This includes, but is not limited to, using illegal or unethical methods to drive traffic or generate referrals, such as spamming, cookie stuffing, or incentivized referrals. Further restrictions:

Commission Structure and Payment

3.1 Commission Rates: The details of applicable commission rates and duration can be found on your affiliate portal dashboard once you register for the program. These rates are subject to change at the Company’s discretion and will be communicated to you in advance.

3.2 Affiliate Portal Management: Kindly be aware that the affiliate portal is managed by Rewardful (https://www.rewardful.com/), who oversees the entire referral tracking process, including the management of cookies, the collection of referrals, and commission calculations. This involves the technologies employed to gather referral data and compute commissions. Therefore, it’s important to note that any technical issues or glitches that may arise within the affiliate portal, its tracking mechanisms, or the commission calculation process are beyond the Company’s control and responsibility.

3.3 Qualified Referrals: A qualified referral refers to a customer who signs up for a paid subscription or purchases Pay-as-you-Go credits through your unique referral link or code. However, it’s important to note that only the first checkout transaction will be considered for commission calculation, regardless of whether it is a subscription or a Pay-as-you-Go credit purchase. In other words, if a user initially purchases Pay-as-you-Go credits and later subscribes, or vice versa, only the first purchase will count towards the referral program. The referral tracking cookie is deactivated after the first purchase, regardless of the order in which they are made. Please keep this distinction in mind when assessing your eligible referrals for commission payouts.

3.4 Commission Payouts: Commissions earned will be paid out on a quarterly basis, usually within the first week of each quarter. The Company reserves the right to modify the payout schedule at any time. Payouts will be made in EUR.

3.5 Minimum Payout: A minimum commission threshold of €100 is applied before a payout can be made. Commissions will accrue until this threshold is met.

3.6 Payment Method: Commissions can be paid either via invoice or PayPal. Once the threshold is met, you must provide an invoice including your RIB/IBANPal email address for payment processing. Please note that any fees associated with the payment will be your responsibility.

3.7 If a partner’s account remains inactive for 6 months and their balance is EUR 100 or less, it will be deleted from our system. In such cases, any commissions below the minimum payout threshold of EUR 100 will be lost.

3.8 EU Company VAT Requirement: If a company is liable for Value-Added Tax (VAT) and operates within the European Union, it must provide us with its intra-community VAT number. This unique identification number is essential for tracking transactions involving VAT within the EU, ensuring compliance with tax regulations. Failure to provide a valid intra-community VAT number may affect your eligibility for participation in the program and commission payouts.

3.9 VAT for Companies Operating in France: If your company operates in France and is subject to Value-Added Tax (VAT), you must include VAT in your invoice for commission payments. The stated commission amount already encompasses the VAT, representing the total amount due, inclusive of VAT.

Example: Let’s say your company operates in France and participates in our affiliate program. You refer customers who make purchases through your referral link, and the commission for that referral is 100 EUR. In this case, the 100 EUR commission already includes the applicable VAT. Your invoice should reflect an amount excluding VAT (net amount) of approximately 83.33 EUR, with a VAT amount of 16.67 EUR.

Term and Termination

4.1 Term: These Terms will remain in effect until terminated by either party. You may terminate your participation in the Program at any time by providing written notice to the Company.

4.2 Termination for Cause: The Company reserves the right to terminate your participation in the Program immediately if you violate these Terms, engage in any prohibited activities, or for any other valid cause as determined by the Company.

4.3 Termination by the Company: The Company retains the right to cancel the affiliate program at any time and without any reason, by providing written notice to all participating affiliates. In the event of such program cancellation, all eligible commissions earned before the termination date will be paid out to the respective affiliates. 

4.4 Effect of Termination: Upon termination or cancellation of your participation in the Program, you will no longer be eligible to earn commissions. Additionally, you must immediately cease the use of any affiliate links, trademarks, or promotional materials related to the Program. If you voluntarily terminate your participation and have not reached the minimum commission threshold of $100, you will not be eligible for any unpaid commissions.

4.5 Survival: Sections 4.3 and 4.4 of these Terms shall survive the termination of your participation in the Program.

Intellectual Property

5.1 Limited License: The Company grants you a non-exclusive, non-transferable, revocable license to use its logos, trademarks, and promotional materials solely for the purpose of promoting thruuu as an affiliate.

5.2 Intellectual Property Rights: You acknowledge that all intellectual property rights in thruuu, its trademarks, and associated materials belong to the Company. You shall not modify, reproduce, or distribute any of these materials without the Company’s prior written consent.

Limitation of Liability

6.1 No Warranty: The Company provides no warranty or representation regarding the Program, its availability, or the accuracy and completeness of the tracking and reporting systems. The Program is provided on an “as is” basis.

6.2 Limitation of Liability: In no event shall the Company be liable for any indirect, consequential, or special damages arising out of or in connection with the Program, including but not limited to lost profits or loss of business opportunities.

General Provisions

7.1 Modification: The Company reserves the right to modify these Terms at any time. Your continued participation in the Program after such modifications constitutes your acceptance of the updated Terms.

7.2 Parties’ Relationship: You and the Company are considered separate entities, operating as independent contractors. The provisions in these Terms do not establish a partnership, joint venture, agency, or employment connection between both parties.

7.3 Governing Law and Jurisdiction: The terms will be regulated and interpreted in compliance with the laws of France. Any conflicts arising from these terms will be exclusively resolved by the competent courts of France.

By joining thruuu Affiliate Program, you acknowledge that you have read, understood, and agree to be bound by these Affiliate Program Terms and Conditions.
